CUE SAMPLER — End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("you," "your," or "Licensee") and Jerry Volpe, doing business as CUE Software ("we," "us," "our," or "Licensor"), for the CUE SAMPLER software plugin, including any associated files, documentation, and updates we choose to provide (collectively, the "Software").
By downloading, installing, purchasing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not download, install, or use the Software.
1. License Grant
Subject to your compliance with this Agreement and payment of the applicable fee, we grant you a non-exclusive, non-transferable license to install and use the Software for your own personal or commercial music-production purposes.
You may install and use the Software on computers that you own or control for your own use, and make the copies reasonably necessary for those installations and backups. This permission does not authorize sharing the Software with other users. Separate products, including CUE-RACK, are governed by their own applicable license terms.
2. Restrictions
You may not:
- Sell, rent, lease, sublicense, distribute, or otherwise transfer the Software or your license to any third party;
- Share, publish, or distribute your license key, download link, or account credentials;
- Copy the Software except for the installations and backups permitted in Section 1;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent this restriction is prohibited by applicable law;
- Modify, adapt, translate, or create derivative works based on the Software;
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
- Use the Software in any unlawful manner or in violation of any applicable law or regulation.
Third-party components are governed by their applicable licenses, identified in the accompanying third-party notices. Nothing in this Agreement restricts rights those licenses grant you in those components. Those terms control to the extent of a conflict concerning those components. Corresponding source for modified MPL-covered components is provided with the release notices.
3. Beta Software
When the version supplied to you is identified as a BETA release, the following additional cautions apply:
- The Software is still in development and may contain errors, bugs, defects, or other issues;
- The Software may behave unexpectedly, crash, fail to function, or cause your host application (DAW) to crash;
- Features may change during development; this does not limit mandatory consumer rights;
- You use the Software at your own risk and are solely responsible for backing up your projects, audio, and data before use.
We make no promise that any particular feature will be added, completed, maintained, or supported.
4. Updates
We may, at our sole discretion, release updates, bug fixes, or new versions of the Software. Except where required by applicable law or expressly promised at purchase, we do not promise updates, upgrades, support, or maintenance. Any updates we do provide are governed by this Agreement unless accompanied by a separate license. Your purchase does not entitle you to lifetime updates or any guaranteed future versions.
5. Payment, Delivery, and Refunds
The Software is delivered electronically. The price, supplied formats, system requirements, and any beta designation are stated in the applicable product listing. Purchases through Gumroad are processed by Gumroad as merchant of record and are also subject to its applicable checkout terms and refund policies.
Except as required by applicable law or the checkout platform's applicable policies, we do not offer discretionary refunds for a change of mind after digital delivery. Nothing in this Agreement excludes mandatory consumer rights, including applicable remedies for defective or misdescribed digital content. Contact cue@cuesampler.com for assistance with an order or defect.
Where immediate digital delivery affects a statutory withdrawal right, any required prior express consent and acknowledgment must be obtained through the applicable checkout process. This Agreement alone does not replace those steps or waive rights that cannot lawfully be waived.
6. Local Data and Privacy
CUE SAMPLER processes audio on your device. To restore your work and support playback, analysis, and stem separation, it may store audio, source-file paths, analysis results, edit settings, and audio-derived cache keys in project files and local caches. Your DAW, operating system, or backup service may separately manage copies of those files.
The former optional CUE data-sharing feature has been removed. Current CUE application code does not upload your loaded audio, source-file paths, audio hashes, detection results, corrections, or usage events to CUE. Starting with version 1.0.9, CUE explicitly requests that its bundled ONNX Runtime disable diagnostic telemetry before model sessions are created. Your host application and operating system have their own independent privacy practices.
The Software automatically checks GitHub Releases for updates, subject to a daily interval, and supports manual checks. Requests include ordinary connection information, including your IP address and a generic application User-Agent, but no audio, filenames, analysis results, or installation identifier. Update results and preferences are cached locally. GitHub handles connection information under its own privacy statement.

7. Ownership
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to our trademarks, logos, or service marks.
We claim no ownership of audio you load or create using the Software. You remain responsible for obtaining any rights or permissions needed for your recordings, samples, and output. The Software license does not grant rights in third-party recordings or compositions, and stem separation does not provide copyright clearance.
8. No Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, AUDIO, PROJECTS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you.
10. Termination
This Agreement is effective until terminated. We may terminate your license for a material breach of this Agreement, subject to applicable notice and cure requirements. Upon valid termination, you must cease using and delete your copies of the Software, except for copies you are legally entitled to retain. Termination does not affect rights granted directly under third-party licenses or mandatory consumer law. Sections 6 through 12 survive termination.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-law principles. Subject to mandatory applicable law, disputes arising under this Agreement are subject to the jurisdiction of the state and federal courts located in New York. If you are a consumer, this section does not deprive you of mandatory protections or rights to bring proceedings in a court available under the law applicable to you.
12. Entire Agreement
This Agreement constitutes the entire agreement between you and us regarding the Software and supersedes all prior or contemporaneous understandings. If any provision of this Agreement is held to be unenforceable, the remaining provisions will remain in full force and effect.

Jerry Volpe, doing business as CUE Software ("CUE," "we," "us"), is responsible for the personal information we handle when you visit cuesampler.com, purchase our products, subscribe to communications, or contact support. Contact: cue@cuesampler.com. The plugin-specific section below describes CUE SAMPLER; other products may have different functionality and accompanying notices.
1. Purchases, Support, and Communications
We receive information you provide or that our business providers make available for order fulfillment and support, such as your name, email, order details, and the content of your messages. Provide only information needed for your request. If you voluntarily send audio, project files, or diagnostic information to support, we receive and use those files to investigate the issue.
Gumroad operates the storefront and checkout and acts as merchant of record for Gumroad purchases. It processes payment and billing information and provides order and delivery services under its own terms and privacy policy: https://gumroad.com/privacy. CUE does not receive or store your full payment-card or bank-account details through that checkout.
We use order information to deliver purchases, assist with downloads, and handle support or refund requests. We use contact information to answer you and send relevant transaction or service messages. Marketing subscriptions are optional, and you can unsubscribe using the link in those messages or contact us. We do not treat a purchase as blanket permission for unrelated marketing.
2. CUE SAMPLER: Local Processing and Update Checks
CUE SAMPLER processes audio on your device. Audio, source-file paths, analysis results, edit settings, and audio-derived cache keys may be stored in project files and local caches to support playback, project restoration, analysis, and stem separation. Local caches and projects are not automatically uploaded to CUE by these features. Your DAW, operating system, and backup or file-sync services may separately manage your files under their own settings and policies.
The former optional CUE data-sharing feature has been removed. Current CUE application code does not upload loaded audio, source-file paths, audio hashes, detection results, corrections, or usage events to CUE. Starting with version 1.0.9, CUE explicitly requests that its bundled ONNX Runtime disable diagnostic telemetry before model sessions are created. This does not control independent diagnostics or data handling by your DAW or operating system.
The Software automatically checks GitHub Releases for updates, subject to a daily interval, and supports manual checks. GitHub receives ordinary connection metadata, including your IP address and a generic application User-Agent. CUE's update request does not include audio, filenames, analysis results, or an installation identifier. Update results and preferences are cached locally. GitHub's handling is described at https://docs.github.com/en/site-policy/privacy-policies/github-general-privacy-statement.
3. Historical Optional Data Sharing
Earlier versions included an optional data-sharing feature intended for a Google-hosted endpoint. CUE did not receive or retain data from that feature in any distributed build, and the feature has been removed. There are no historical Google telemetry records held by CUE to retain or delete. You can still contact cue@cuesampler.com with privacy questions about an older version.
4. Website Technologies and Providers
The Gumroad-hosted site and checkout may process connection and device information and use cookies for site operation, checkout, fraud prevention, and services described in Gumroad's privacy policy. CUE's custom page does not add a separate analytics script. It loads typefaces from Google Fonts, which receives ordinary connection information when your browser requests those files; see https://policies.google.com/privacy. Provider-controlled functionality may have its own choices and notices; our custom page does not control all cookies on the surrounding storefront or checkout.
Use available provider privacy controls and browser cookie settings to manage your choices. Where applicable law requires prior consent for nonessential tracking, that consent must be obtained before those technologies are used. Browser settings alone do not replace required consent.
We share information as needed with providers supporting purchases, hosting, delivery, communications, and support, and where required by law or reasonably necessary to protect rights and security. Gumroad and GitHub also handle information for their own purposes under their privacy policies. We do not sell or rent personal information.
5. Purposes, Legal Bases, and Retention
Where a legal basis is required, we rely on performance of a contract for delivery and purchase-related support; applicable legal obligations for required accounting and legal records; consent where required for marketing or optional tracking; and legitimate interests, where permitted and balanced against individual rights, for security, fraud prevention, and responding to general inquiries.
We retain information for as long as reasonably needed for the purpose for which it was obtained, including delivery, resolving support issues or disputes, and applicable accounting or legal requirements. Relevant criteria include the type of record, the status of the request or relationship, applicable limitation and retention periods, and legal holds. Marketing contact details are retained while subscribed; limited suppression information may be retained to honor an unsubscribe request.
Local plugin projects and caches remain under your control and the control of your host or file-management tools. Deleting information held by CUE does not delete your local files. Providers may separately retain records under their policies and legal obligations.
6. International Processing and Your Rights
CUE operates in the United States, and service providers may process information in other countries. Where applicable law requires safeguards for an international transfer, we must use an applicable lawful transfer mechanism or exception; provider privacy notices describe their arrangements. Contact us for information about transfers relevant to your data.
Depending on applicable law, you may have rights to access, correct, delete, restrict, or obtain a portable copy of your information, or object to certain processing. You may withdraw consent where processing relies on it; withdrawal does not affect the lawfulness of prior processing. You may also complain to the relevant data-protection authority. Contact cue@cuesampler.com to exercise your rights. We may need proportionate information to verify a request and will explain applicable limitations. You may unsubscribe from marketing without affecting your software license.
7. Security and Children
We use reasonable measures to protect information handled by CUE. No transmission or storage method is completely secure. The Site and Software are not directed to children under 13, or the equivalent applicable minimum age, and we do not knowingly collect children's personal information. Contact us if you believe a child has provided information so we can address it.
8. Changes and Contact
We identify revisions by the date above and provide any additional notice or consent required for material changes. Previous policy revisions are retained in our release records.
